End-user License Agreement ("EULA")

1. Definitions

(a) "Academic Version" means a version of the Software, so identified, for use by students and faculty of educational institutions, only. A documented evidence of conformity is required.

(b) "Demo Version" means a version, so identified, of the Software to be used to review and evaluate the Software, only.

(c) "lab****Cognition" means LabCognition, Analytical Software GmbH & Co. KG, a subsidiary of the Company, and their licensors, if any.

(d) “Licensee” means the Company, a subsidiary of the Company, being the user of the Software or Suite license.

(e) "Software" means only the lab****Cognition software program(s) and Third-Party Software programs, in each case, supplied by lab****Cognition herewith, and corresponding documentation, associated media, printed materials, and online or electronic documentation.

(f) "Third-Party Software" means programs, source code or object code supplied by lab****Cognition herewith, which is neither owned nor being intellectual property of lab****Cognition. Such Third-Party Software and its licensing, if any, is acknowledged in Appendix A to this EULA.

(g) "Studio" means lab****Cognition software products as part of a collection of products.

(h) "Trial Version" means a version of the Software, so identified, to be used only to review, demonstrate and evaluate the Software for a limited time period. The Trial Version may have limited features, may lack the ability for the end-user to save the end product, and will cease operating after a predetermined amount of time due to an internal mechanism within the Trial Version.

(i) "Not for Resale Version" means a version of the Software, so identified, to be used only to review and evaluate the Software for a limited time period. The Not for Resale Version may have limited features, may lack the ability for the end-user to save the end product, and will cease operating after a predetermined amount of time due to an internal mechanism within the Not For Resale Version.

2. License Grants

The licenses granted in this Section 2 are subject to the terms and conditions set forth in this EULA:

(a) You may install and use the Software only on a single computer. In case the Software is part of a Studio only Licensee may use the Studio.

(b) A license of the Software or the Suite must not be shared, installed on multiple computers or installed and made available in a way that third parties other than Licensee can use the Suite or parts of it. In particular, installation of the Studio or Software with the intention to make it available to any third party (i.e. the public) for free, for rent or on other basis is strictly prohibited.

(c) In the event the Software is distributed along with other lab****Cognition software products as part of a suite of products (collectively, the "Studio"), each Software license of the Studio is licensed as a single product and all of the products in the Studio, including the Software, may be used for installation on one computer of Licensee each.

(d) You may make one copy of the Software in machine-readable form solely for backup purposes. You must reproduce on any such copy all copyright notices and any other proprietary legends on the original copy of the Software. You may not sell or transfer any copy of the Software made for backup purposes.

(e) You agree that lab****Cognition may audit your use of the Software for compliance with these terms at any time, upon reasonable notice. In the event that such audit reveals any use of the Software by you other than in full compliance with the terms of this Agreement, you shall reimburse lab****Cognition for all reasonable expenses related to such audit in addition to any other liabilities you may incur as a result of such non-compliance.

(f) Distribution of any Software code in any form is specifically prohibited.

(g) Mandatory Product Activation. The license rights granted under this Agreement may be limited to a specified number of the first thirty (30) days after you first install the Software unless you supply information required to activate your licensed copy within the time and the manner described during the Software setup sequence and/or the dialog boxes appearing during use of the Software. You may need to activate the Software through the use of the Internet or email or telephone; toll charges may apply. You may need to reactivate the Software if you modify your computer hardware or alter the Software. Product activation is based on the exchange of information between your computer and lab****Cognition. None of this information contains personally identifiable information nor can they be used to identify any personal information about you or any characteristics of your computer configuration. YOU ACKNOWLEDGE AND UNDERSTAND THAT THERE ARE TECHNOLOGICAL MEASURES IN THE SOFTWARE THAT ARE DESIGNED TO PREVENT UNLICENSED OR ILLEGAL USE OF THE SOFTWARE. YOU AGREE THAT lab****Cognition MAY USE SUCH MEASURES AND YOU AGREE TO FOLLOW ANY REQUIREMENTS REGARDING SUCH TECHNOLOGICAL MEASURES. YOU ACKNOWLEDGE AND AGREE THAT THE SOFTWARE WILL CEASE TO FUNCTION UNLESS AND UNTIL YOU ACTIVATE THE APPLICABLE SOFTWARE ACTIVATION KEY.

(h) Non-Exclusivity. Your license rights under this EULA are non-exclusive.

(i) Separation of Components. The Software is licensed as a single product. You may not separate the Software's component parts for use on more than one computer and/or for use with other software products.

3. License Restrictions

(a) Other than as set forth in Section 2, you may not make or distribute copies of the Software, or electronically transfer the Software from one computer to another or over a network.

(b) You may not alter, merge, modify, adapt or translate the Software, or decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human-perceivable form.

(d) Other than with respect to a Trial Version or a Demo Version or a Not for Resale Version of the Software, you may permanently transfer all of your rights under this EULA only as part of a sale or transfer, provided you retain no copies, you transfer all of the Software (including all component parts, the media and printed materials, any upgrades, this EULA, the serial numbers, and, if applicable, all other software products provided together with the Software), and the recipient agrees to the terms of this EULA. If the Software is an upgrade, any transfer must include all prior versions of the Software from which you are upgrading. If the copy of the Software is licensed as part of the whole Studio (as defined above), the Software shall be transferred only with and as part of the sale or transfer of the whole Studio, and not separately. You may retain no copies of the Software. You may not sell or transfer any Software purchased under a volume discount. You may not sell or transfer any Trial Version or Demo Version or Not For Resale Version of the Software.

(e) Unless otherwise provided herein, you may not modify the Software or create derivative works based upon the Software.

(f) Academic Versions may not be used for, or distributed to any party for, any commercial purpose.

(g) Unless otherwise provided herein, you shall not (A) in the aggregate, install or use more than one copy of the Trial Version or Demo Version of the Software, (B) download the Trial Version or Demo Version of the Software under more than one user name, (C) alter the contents of a hard drive or computer system to enable the use of the Trial Version or Demo Version of the Software for an aggregate period in excess of the trial period/demonstration period for one license to such Trial Version or Demo Version, (D) disclose the results of software performance benchmarks obtained using the Trial Version or Demo Version to any third party without lab****Cognition's prior written consent, or (E) use the Trial Version or Demo Version of the Software for a purpose other than the sole purpose of determining whether to purchase a license to a commercial or academic version of the software; provided, however, notwithstanding the foregoing, you are strictly prohibited from installing or using the Trial Version or Demo Version of the Software for any commercial training purpose.

(h) You may only use the Not for Resale Version of the Software to review and evaluate the Software.

(i) You may not export the Software into any country prohibited by the Federal Republic of Germany Export Administration Act and the regulations thereunder.

(j) You may receive the Software in more than one medium but you shall only install or use one medium. Regardless of the number of media you receive, you may use only the medium that is appropriate for the server or computer on which the Software is to be installed.

(k) You may receive the Software in more than one platform but you shall only install or use one platform. If the Software is delivered in multiple versions or languages, you may only run one version or language of the Software, and you may not run the additional versions in any other language on any other computer.

(l) You must not use the Software to develop any application having the same primary function as the Software.

(m) In the event that you fail to comply with this EULA, lab****Cognition may terminate the license and you must destroy all copies of the Software (with all other rights of both parties and all other provisions of this EULA surviving any such termination).

4. Upgrades and Updates

If this copy of the Software is an upgrade or update from an earlier version of the Software, it is provided to you on a license exchange basis. You agree by your installation and use of such copy of the Software to voluntarily terminate your earlier EULA and that you will not continue to use the earlier version of the Software or transfer it to another person or entity unless such transfer is pursuant to Section 3.

5. Prior Same Version License

If this copy of the Software is licensed as part of the Studio (as defined above), and you have a prior license to the same version of the Software, and the Studio was licensed to you with a discount based, in whole or in part, on your prior license to the same version, the Software is provided to you on a license exchange basis. You agree by your installation and use of this copy of the Software to voluntarily terminate your EULA with respect to such prior license and that you will not continue to install or use such prior license of the Software or transfer it to another person or entity.

6. Ownership

The foregoing license gives you limited license to use the Software. lab****Cognition and its suppliers retain all rights, title and interest, including all copyright and intellectual property rights, in and to, the Software and all copies thereof. All rights not specifically granted in this EULA, including Federal and International Copyrights, are reserved by lab****Cognition and its suppliers.

7. LIMITED WARRANTY AND DISCLAIMER

(a) Except with respect to any Sample Data, Trial Version, Demo Version and Not For Resale Version of the Software, lab****Cognition warrants that, for a period of ninety (90) days from the date of delivery (as evidenced by a copy of your receipt): (i) when used with a recommended hardware configuration, the Software will perform in substantial conformance with the documentation supplied with the Software; and (ii) the physical media on which the Software is furnished, if provided by lab****Cognition, will be free from defects in materials and workmanship under normal use.

(b) lab****Cognition PROVIDES NO REMEDIES OR WARRANTIES, WHETHER EXPRESS OR IMPLIED, FOR ANY SAMPLE DATA, THIRD-PARTY SOFTWARE, TRIAL VERSION, DEMO VERSION AND THE NOT FOR RESALE VERSION OF THE SOFTWARE. ANY SAMPLE DATA, TRIAL VERSION, DEMO VERSION AND THE NOT FOR RESALE VERSION OF THE SOFTWARE ARE PROVIDED "AS IS".

(c) EXCEPT AS SET FORTH IN THE FOREGOING LIMITED WARRANTY WITH RESPECT TO SOFTWARE OTHER THAN ANY SAMPLE DATA, THIRD-PARTY SOFTWARE, TRIAL VERSION, DEMO VERSION AND NOT FOR RESALE VERSION, lab****Cognition AND ITS SUPPLIERS DISCLAIM ALL OTHER WARRANTIES AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, OR OTHERWISE, INCLUDING THE WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ALSO, THERE IS NO WARRANTY OF NON-INFRINGEMENT AND TITLE OR QUIET ENJOYMENT. lab****Cognition DOES NOT WARRANT THAT THE SOFTWARE IS ERROR-FREE OR WILL OPERATE WITHOUT INTERRUPTION.

(d) (USA only) NO RIGHTS OR REMEDIES REFERRED TO IN ARTICLE 2A OF THE UNIFORM COMMERCIAL CODE WILL BE CONFERRED ON YOU UNLESS EXPRESSLY GRANTED HEREIN. THE SOFTWARE IS NOT DESIGNED, INTENDED OR LICENSED FOR USE IN HAZARDOUS ENVIRONMENTS REQUIRING FAIL-SAFE CONTROLS, INCLUDING WITHOUT LIMITATION, THE DESIGN, CONSTRUCTION, MAINTENANCE OR OPERATION OF NUCLEAR FACILITIES, AIRCRAFT NAVIGATION OR COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL, AND LIFE SUPPORT OR WEAPONS SYSTEMS. lab****Cognition SPECIFICALLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTY OF FITNESS FOR SUCH PURPOSES.

(e) IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SOFTWARE, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF DELIVERY.

(f) NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY lab****Cognition, ITS DEALERS, DISTRIBUTORS, AGENTS OR EMPLOYEES SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF ANY WARRANTY PROVIDED HEREIN.

8. Exclusive Remedy

Your exclusive remedy under the preceding is to return the Software to the place you acquired it, with a copy of your receipt and a description of the problem. Provided that any non-compliance with the above warranty is reported in writing to lab****Cognition no more than ninety (90) days following delivery to you, lab****Cognition will use reasonable commercial efforts to supply you with a replacement copy of the Software that substantially conforms to the documentation, provide a replacement for defective media, or refund to you your purchase price for the Software, at its option. lab****Cognition shall have no responsibility if the Software has been altered in any way, if the media has been damaged by misuse, accident, abuse, modification or misapplication, or if the failure arises out of use of the Software with other than a recommended hardware configuration. Any such misuse, accident, abuse, modification or misapplication of the Software will void the warranty above. THIS REMEDY IS THE SOLE AND EXCLUSIVE REMEDY AVAILABLE TO YOU FOR BREACH OF EXPRESS OR IMPLIED WARRANTIES WITH RESPECT TO THE SOFTWARE AND RELATED DOCUMENTATION.

9. LIMITATION OF LIABILITY

(a) NEITHER lab****Cognition NOR ITS SUPPLIERS SHALL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, COVER OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR THE INABILITY TO USE EQUIPMENT OR ACCESS DATA, LOSS OF BUSINESS, LOSS OF PROFITS, BUSINESS INTERRUPTION OR THE LIKE), ARISING OUT OF THE USE OF, OR INABILITY TO USE, THE SOFTWARE AND BASED ON ANY THEORY OF LIABILITY INCLUDING BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF lab****Cognition OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

(b) lab****Cognition’s TOTAL LIABILITY TO YOU FOR ACTUAL DAMAGES FOR ANY CAUSE WHATSOEVER WILL BE LIMITED TO THE GREATER OF 500 EUROS OR THE AMOUNT PAID BY YOU FOR THE SOFTWARE THAT CAUSED SUCH DAMAGE.

(c) (USA only) SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU AND YOU MAY ALSO HAVE OTHER LEGAL RIGHTS THAT VARY FROM STATE TO STATE.

(d) THE FOREGOING LIMITATIONS ON LIABILITY ARE INTENDED TO APPLY TO THE WARRANTIES AND DISCLAIMERS ABOVE AND ALL OTHER ASPECTS OF THIS EULA.

10. Basis of Bargain

The Limited Warranty and Disclaimer, Exclusive Remedies and Limited Liability set forth above are fundamental elements of the basis of the agreement between lab****Cognition and you. lab****Cognition would not be able to provide the Software on an economic basis without such limitations. Such Limited Warranty and Disclaimer, Exclusive Remedies and Limited Liability inure to the benefit of lab****Cognition licensors.

11. (USA Only) U.S. GOVERNMENT RESTRICTED RIGHTS LEGEND

This Software and the documentation are provided with "RESTRICTED RIGHTS" applicable to private and public licenses alike. The Software is a "commercial item," as that term is defined at 48 C.F.R. 2.101 (Oct 1995), consisting of "commercial computer software" and "commercial computer software documentation," as such terms are used in 48 C.F.R. 12.212 (Sep 1995) and is provided to the U.S. Government only as a commercial end item. Any technical data provided with such Software is commercial technical data as defined in 48 C.F.R. 12.211 (Sep 1995). Consistent with 48 C.F.R. 12.211 through 12.212, 48 C.F.R. 227.7202-1 through 227.7202-4 (Jun 1995), and 48 C.F.R. 252.227-7015 (Nov 1995), all U.S. Government End Users acquire the Software with only those rights expressly set forth in this EULA.

Without limiting the foregoing, use, duplication, or disclosure by the U.S. Government is subject to restrictions as set forth in this EULA and as provided in DFARS 227.7202-1(a) and 227.7202-3(a) (1995), DFARS 252.227-7013 (c)(1)(ii)(OCT 1988), FAR 12.212(a)(1995), FAR 52.227-19, or FAR 52.227-14, as applicable. For purposes of these regulations the Manufacturer of the Software is LabCognition, Analytical Software GmbH & Co. KG, Kölner Str. 89, 50859 Köln (Cologne), Germany.

12. (Outside of the USA) Consumer End Users Only

The limitations or exclusions of warranties and liability contained in this EULA do not affect or prejudice the statutory rights of a consumer, i.e., a person acquiring goods otherwise than in the course of a business.

The limitations or exclusions of warranties, remedies or liability contained in this EULA shall apply to you only to the extent such limitations or exclusions are permitted under the laws of the jurisdiction where you are located.

13. Third-Party Software

The Software may contain Third-Party Software as stipulated in Appendix A to this EULA which requires notices and/or additional terms and conditions. Such required Third-Party Software notices and/or additional terms and conditions are located (i) on the Software installation media, (ii) if the Software was downloaded, in the unpacked installation folder or (iii) in the Software installation folder on the computer hard drive (iv) a suitable internet address is provided for downloading, and are made a part of and incorporated by reference into this EULA. By accepting this EULA, you are also accepting the additional terms and conditions, if any, set forth therein.

14. General

(a) This EULA shall be governed by the laws of the Federal Republic of Germany, without giving effect to principles of conflict of laws. You hereby consent to the exclusive jurisdiction and venue of the court sitting in Cologne (Köln), Germany to resolve any disputes arising under this EULA. In each case this EULA shall be construed and enforced without regard to the United Nations Convention on the International Sale of Goods.

(b) This EULA contains the complete agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements or understandings, whether oral or written. You agree that any varying or additional terms contained in any purchase order or other written notification or document issued by you in relation to the Software licensed hereunder shall be of no effect. The failure or delay of lab****Cognition to exercise any of its rights under this EULA or upon any breach of this EULA shall not be deemed a waiver of those rights or of the breach.

(d) If any provision of this EULA shall be held by a court of competent jurisdiction to be contrary to law, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this EULA will remain in full force and effect.

(e) All questions concerning this EULA shall be directed to: LabCognition, Analytical Software GmbH & Co. KG, Kölner Str. 89, 50859 Köln (Cologne), Germany, Attention: General Counsel.

(f) lab****Cognition and trademarks contained in the Software are trademarks or registered trademarks of LabCognition, Analytical Software GmGH & Co. KG in the Germany and/or other countries. Third party trademarks, trade names, product names and logos may be the trademarks or registered trademarks of their respective owners. You may not remove or alter any trademark, trade names, product names, logo, copyright or other proprietary notices, legends, symbols or labels in the Software. Except for the rights granted in Section 2 above relating to Sample Data, this EULA does not authorize you to use lab****Cognition or its licensors names or any of their respective trademarks.

Appendix A – Third-Party Software Acknowledgments

The Software has been developed using Microsoft dotnet C# and related components from Microsoft and other third parties.
The core dotnet C# environment used in development of Software is under Microsoft EULA (http://go.microsoft.com/fwlink/?LinkId=329770) and MIT license (https://github.com/dotnet/core/blob/main/LICENSE.TXT). Additional Microsoft components may have individual licenses as stated below and in further _third-party-license-notice._txt files of the software installation.

Other Third-Party Software used and distributed with the Software may have not been developed by lab****Cognition but used, adapted, enhanced or otherwise utilized by lab****Cognition to provide features to the Software. All such Third-Party Software may have individual licenses as set forth in the following sections and in further LICENSE or NOTICE or _third-party-license-notice._txt files to the software installation. All files are text files regardless of their file extension. They can be opened with a text editor such as Notepad.exe.

The Dinkey Hardware and Software System (hereafter referred to as “Dinkey”) is licensed byMicrocosm only on the condition that the Licensee agrees to the terms set forth in thisagreement. Please read this agreement carefully before using the contents of the packageand/or before downloading or installing the software product.

1. The LicenceMicrocosm has full title to the Dinkey software. Microcosm agrees to grant, and the Licenseeagrees to accept on the following terms and conditions a non-transferable and non-exclusivelicence to use Dinkey. The Dinkey software remains the property of Microcosm though thisdoes not imply that Microcosm owns the media on which the programs are recorded.By opening the package containing the products and/or by downloading the software and/orby installing the software on their computer and/or by using the product, the Licensee isaccepting this agreement and agreeing to be bound by its terms and conditions.

2. Restrictions on UseThe Licence authorises the Licensee to use Dinkey to protect products, so long as thoseproducts are the property of, licensed to, or for sale by the Licensee.

3. Distribution to Third PartiesThe Licensee is permitted to distribute to their customers the hardware dongle componentof the Dinkey system and the necessary protected Runtime modules and DinkeyChangemodules.

4. ModificationsThe Licensee may not modify Dinkey software without the express permission of Microcosm.Microcosm and Microcosm distributors will not provide any support or guarantee for Dinkeysoftware that has been so modified.

5. Copyright, Trademark & Trade NameDinkey is the Trademark of Microcosm. The copyright to Dinkey is fully owned byMicrocosm. The Licensee agrees not to remove any copyright notices or any confidential orproprietary trademarks or trade names from Dinkey.

6. Non-disclosureThe Licensee agrees not to provide, disclose or otherwise make available any informationregarding the techniques used by Dinkey to anyone other than to the Licensee’s employees.The Licensee further agrees that all copies of Dinkey software will be strictly safeguardedagainst disclosure to, or use by, persons not authorised by Microcosm to use the Dinkey andthat the Licensee will take such steps as are necessary to ensure that the provisions of thisagreement are not violated by any employee of the Licensee. The Licensee recognises thatany unauthorised copying or disclosure of Dinkey or trade secrets will cause great damage toMicrocosm and that this damage may greatly exceed the licence fee paid by the Licenseeand that injunctive relief may be appropriate to prevent such unauthorised copying ordisclosure.

7. TermThe Licence granted under this agreement is effective from the date on which the packageand/or downloading or installing the Dinkey software product occurs. The Licensee mayterminate the Licence at any time. Microcosm may terminate the Licence at any timewithout compensation if the customer fails to comply with any of the terms of thisagreement.

8. Enhancements & UpdatesFrom time to time, Microcosm may advise the Licensee of enhancements and updates toDinkey software. Such enhancements will be made available to the Licensee free of charge.

9. Limitations of Warranty & LiabilityApart from any statutory obligations, because of the diversity of hardware, software andconditions under which the software may be used, Microcosm cannot make any warranties,either express or implied, with respect to Dinkey software, its quality, performance,merchantability or fitness for any particular use. Dinkey is licensed “as is” and with all faults.In no event will Microcosm be liable for direct, indirect, incidental or consequential damageresulting from any defect in Dinkey even if Microcosm had been advised of the possibility ofsuch damages. The Licensee is advised to fully test the product after adding copy protection.In all events liability is limited to the original purchase price of the software. All otherwarranties are excluded.

10. Governing LawThis agreement constitutes the entire agreement between the parties and supersedes anyprior agreement. This agreement may only be changed by mutual written consent. Thisagreement shall be construed, interpreted and governed by the laws of England.
